These terms govern access to the HumanLayer platform and the associated services provided by
HumanLayer Systems Inc.
1. Definitions
- “Platform”: The HumanLayer software infrastructure, including the API and
user interfaces
- “Human Decision-Maker”: A qualified professional registered on the Platform
to render decisions (referred to as “Sentinel” in non-contractual communications)
- “API Client”: An entity using the HumanLayer API to submit decision requests
- “Decision”: Any act of validation, approval, refusal, or judgment rendered
by a Human Decision-Maker via the Platform
2. Acceptance of terms
By accessing the Platform or using our services, you agree to be bound by these terms. If you do
not accept them, you must not use the Platform.
3. Registration and eligibility
3.1 Human Decision-Makers
- You must hold the qualifications and authorizations required for your field of expertise
- You must provide accurate and up-to-date information during registration
- You are responsible for maintaining the confidentiality of your credentials
- HumanLayer may verify qualifications and refuse or revoke registration
3.2 API Clients
- API access is subject to a separate service agreement
- You are responsible for compliant usage of the API
4. Human Decision-Maker obligations
- Professional diligence: Render decisions aligned with professional standards
- Confidentiality: Preserve confidentiality of information received via the
Platform
- Conflicts of interest: Disclose and recuse in case of conflict
- Availability: Respect availability commitments
- Compliance: Follow all applicable laws and regulations
5. Limitation of liability
HumanLayer acts as a technical intermediary.
- Liability for decisions rests with the signing Human Decision-Maker
- HumanLayer does not guarantee the accuracy or relevance of decisions
- HumanLayer’s liability is limited to the fees collected for the relevant transaction
- HumanLayer is not liable for indirect, consequential, or punitive damages
6. Intellectual property
- The Platform, its code, design, and trademarks are the property of HumanLayer Systems Inc.
- No license is granted beyond the right to use the Platform
- Decision data is jointly owned by the API Client and the Human Decision-Maker under
applicable terms
7. Termination
- You may terminate your account at any time by contacting us
- HumanLayer may suspend or terminate access in case of breach of these terms
- Confidentiality obligations and audit trails survive termination
8. Changes
HumanLayer may update these terms at any time. Significant changes will be notified by email.
Continued use after notification constitutes acceptance.
9. Governing law and jurisdiction
These terms are governed by the laws of Quebec, Canada. Any dispute will be submitted to the
competent courts of Montreal, Quebec.
